1. Agreement to Terms
By accessing or using OceanaCDP ("Service"), operated by Oceana Marketing LLC ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service.
2. Description of Service
OceanaCDP is a Customer Data Platform that integrates with Shopify stores to provide:
- Customer data aggregation and management
- Customer segmentation and analytics
- Engagement scoring and lifetime value calculations
- Demographic insights and reporting
- Data export functionality
3. Account Registration
To use OceanaCDP, you must:
- Be at least 18 years old
- Provide accurate and complete registration information
- Maintain the security of your account credentials
- Be authorized to connect the Shopify store(s) you integrate
You are responsible for all activities that occur under your account.
4. Shopify Integration
By connecting your Shopify store to OceanaCDP:
- You authorize us to access your store data through Shopify's API
- You confirm you have the authority to grant this access
- You agree to comply with Shopify's Terms of Service and API License Agreement
- You acknowledge that we will access customer data, order data, and product data
5. Data Responsibilities
Your Responsibilities:
- Ensure you have a lawful basis to collect and share customer data
- Maintain an appropriate privacy policy for your store
- Comply with all applicable privacy laws (GDPR, CCPA, etc.)
- Obtain necessary consents from your customers where required
Our Responsibilities:
- Process your data only as necessary to provide the Service
- Implement appropriate security measures
- Not sell your customer data to third parties
6. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose
- Attempt to gain unauthorized access to our systems
- Interfere with or disrupt the Service
- Use automated systems to access the Service without permission
- Resell or redistribute the Service without authorization
- Use the Service to send spam or unsolicited communications
7. Payment Terms
If you subscribe to a paid plan:
- Fees are billed in advance on a monthly or annual basis
- All fees are non-refundable unless otherwise stated
- We may change pricing with 30 days notice
- Failed payments may result in service suspension
8. Intellectual Property
The Service, including its design, features, and content, is owned by Oceana Marketing LLC and protected by intellectual property laws.
You retain ownership of your data. By using the Service, you grant us a limited license to process your data as necessary to provide the Service.
9. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.
Demographic estimations (gender, age) are statistical approximations and should not be relied upon for individual-level decisions.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OCEANA MARKETING LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES.
Our total liability shall not exceed the amount paid by you for the Service in the 12 months preceding the claim.
11. Indemnification
You agree to indemnify and hold harmless Oceana Marketing LLC from any claims, damages, or expenses arising from:
- Your use of the Service
- Your violation of these Terms
- Your violation of any third-party rights
- Your violation of applicable laws
12. Termination
Either party may terminate this agreement at any time. Upon termination:
- Your access to the Service will be revoked
- We will delete your data within 30 days, unless retention is required by law
- Sections regarding liability, indemnification, and dispute resolution survive termination
13. Changes to Terms
We may modify these Terms at any time. We will notify you of material changes via email or through the Service. Continued use after changes constitutes acceptance of the new Terms.
14. Governing Law
These Terms are governed by the laws of the State of Florida, United States, without regard to conflict of law principles.
15. Dispute Resolution
Any disputes arising from these Terms shall be resolved through binding arbitration in Miami, Florida, except for claims seeking injunctive relief.
